    You agree to pay L’Oréal , its employees, representatives, and agents any and all costs, damages, and expenses (including reasonable legal fees) awarded against any of them or otherwise incurred by any of them in connection with or arising from any such third party claim, suit, action or proceeding attributable to any such third party claim.
     
  12. TERMINATION

    Either you or L’Oréal may terminate these terms with or without cause at any time. If L’Oréal terminates these terms, L’Oréal will email you at the address you provide on registration, and you will be deemed to have received it within one hour of transmission. Termination will be effective at that time. You will be responsible for notifying us of any changes to your email address. You may terminate by contacting us using the Contact Us form at the bottom of this page with the subject ‘Unsubscribe’. On termination you shall destroy all Content, and copies thereof, obtained from the website.
     
  13. CHANGES TO THE WEBSITE

    You accept that L’Oréal has the right to change the content or technical specifications of any aspect of the Website at any time at L’Oréal's sole discretion. You further accept that such changes may result in your being unable to access the website.

  15. SEVERANCE & WAIVER

    If any provision of this Agreement is found to be invalid by any court having jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this Agreement shall be deemed a continuing waiver of such term or any other term.
     
  16. ENTIRE AGREEMENT

    Except as provided herein, these terms and conditions are the entire agreement between us and supersede any prior understanding or agreements (written or oral). Nothing in this clause will operate to limit or exclude either party’s liability for fraud.
     
  17. THIRD PARTY RIGHTS

    Nothing in this Agreement is intended to confer on any third party (whether referred to in this Agreement by name, class, description or otherwise) any benefit or any right (under the Contracts (Rights of Third Parties) Act 1999 or otherwise) to enforce any provision of this Agreement or any agreement entered into in connection with it.
     
  18. GOVERNING LAW AND JURISDICTION

    The Terms are governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts

  20. CUSTOMER RATINGS AND REVIEWS TERMS AND CONTIDIONS

    These Terms of Use govern your use of the Customer Ratings and Review service (the "CRR Service") offered by L’Oréal (UK) Ltd, acting through its trading division Urban Decay (“Urban Decay”) on its website (the “Site”). To the extent of any conflict between Urban Decay’s Privacy Policy and these Terms of Use, these Terms of Use shall prevail. You may not use the CRR Service if you are an employee of L’Oréal (UK) Limited or any of its affiliated companies.

    Urban Decay grants you a licence to use the CRR Service solely for your personal use in accordance with these Terms of Use. This free, non-exclusive and non-transferable licence allows you to use the CRR Service to review Urban Decay product, and not for any other purposes. Urban Decay shall not be held responsible for any content created by you on the Site. You are not allowed to copy or reproduce the CRR Service, or any other element of the Site or take any action with a view to distributing or reproducing the Site or the CRR Service. You must not take any action that would affect the functionality of the CRR Service or the Site, whether in whole or in part.

    By posting a comment on Urban Decay’s website, you represent and warrant that:

    • that violates any law, statute, or regulation (including, but not limited to, those governing intellectual property, consumer protection, unfair competition, anti-discrimination or advertising);
    • that is, or may reasonably be considered to be illegal, defamatory, libellous, abusive, hateful, harassing, racially or religiously inappropriate, offensive, inciting of violence, fraudulent, invasive of privacy, threatening, or otherwise injurious to third parties or objectionable;
    • that consists of or contains political campaigning, commercial solicitation, chain letters, mass mailings or other forms of “spam”;
    • that is unrelated to the purpose of reviewing the products listed on the Site;
    • which contains any swearing, sexual innuendo or sexual language or which promotes or incites the perpetration of any unlawful activity such as drug-taking;
    • for which you will derive any compensated or monetary benefit by any third party or which could be construed as an advertisement or solicitation to buy (which shall include any content that directs business away from Urban Decay);
    • that includes any information that references other websites, URL addresses, email addresses, contact information or phone numbers;
    • that contains any actual, or instructions on how to create, computer viruses or other potentially disruptive or damaging computer programs or files.

    Urban Decay reserves the right to change, edit or delete any comment submitted by you to its website that Urban Decay deems, in its sole discretion, to violate these Terms of Use. Urban Decay reserves the right not to publish any comment submitted by any user for any reason.  In addition, it reserves the right not to publish:
     

    • duplicate content;
    • blank reviews;
    • reviews in a language that is not English;
    • any unintelligible content (such as content that contains random characters and meaningless word strings).

    Urban Decay has the right to limit or suspend access to any user that is in breach of these Terms of Use.

    Urban Decay cannot guarantee that you will be able to edit or delete any content you have submitted. Before being posted, any ratings and written comments will be reviewed to ensure that they comply with these Terms of Use. Ratings and written comments, together with your username are generally posted within two to four business days. However, Urban Decay reserves the right to remove or to refuse to post any submission if it does not comply with these Terms of Use.

    If you have any concerns or complaints about any Urban Decay products and their application to you, please contact our Consumer Advisory Department on UKconsumeradvice@loreal.com. Urban Decay reserves the right to refer your review to its Consumer Advisory Department rather than publishing it if it believes that your comment would be better handled in this way.

    The CRR Service may be unavailable from time to time for maintenance or other technical reasons and Urban Decay cannot take any responsibility for any errors, omissions, interruptions, deletions or delays that may be experienced by users when accessing the CRR Service.

    For any comments that you post, you grant Urban Decay a perpetual, irrevocable, worldwide, royalty-free, fully sub-licensable and transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and distribute such content and/or incorporate such content into any form, medium or technology, including Urban Decay’s social media pages, together with your username or first name and location.

    You agree to perform all further acts necessary to perfect any of the above rights granted by you to Urban Decay including the execution of deeds and documents, at its request.

    By submitting your email address in connection with your rating and review, you agree that Urban Decay and its third party service providers may use your email address to contact you about the status of your review and for other administrative purposes.

    You agree to indemnify, keep indemnified and hold Urban Decay (which shall include its officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers), harmless from all losses, claims, demands, and damages (actual and consequential) of every kind and nature, direct or indirect including reasonable legal fees, which are incurred by Urban Decay for any breach of your representations and warranties set forth above.

    Urban Decay reserves the right to suspend the CRR Service at any time without notice.

    1. The Promotion, of a free Urban Decay Perversion mascara sample, (3ml) is open to all UK and ROI residents aged 18 and over, with the exception of the Promoter’s employees, their immediate families, agents or anyone else professionally connected with the promotion.
    2. No purchase necessary. Entry to the offer is free.
    3. Entrants must have internet access to be eligible for entry to the promotion
    4. To enter, entrants must click onto www.urbandecay.sopost.com; log into Facebook and then invite [up to 5] friends, by @mention, to receive a sample of perversion mascara (3ml)
    5. Entrants can invite up to 5 friends to register to receive one sample per person. Bulk entries from trade, consumer groups or other third parties will not be accepted. Multiple entries made by the same person from various email of other accounts will not be accepted.
    6. Incomplete, illegal or late entries will not be accepted. Proof of sending will not be accepted as proof of receipt. Responsibility cannot be accepted from entries lost or delayed due to technical problems or otherwise.

  23. #YESUD TERMS AND CONDITIONS

    By responding #YESUD you agree to the following:

    You grant to Urban Decay and its affiliates and/or related entities a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable right to use your video(s), photo(s) and/or other content posted to Instagram, Facebook, Twitter or Google+, together with your social media handle, social media user name, profile picture, caption and location information you may have included in your content (“User Content”) that you have tagged with any of the Hashtag(s) defined below in any media, including but not limited to on its webpages and social media pages, retailer counters and sites, third party sites, freestanding stores for its marketing and/or its advertising. You grant Urban Decay the right to use your username, real name, image, likeness or other identifying information in connection with any use of your User Content.

    You confirm and agree that:

    (iii) Urban Decay use of your User Content will not break any law or violate the rights of a third party. Urban Decay has the right to disclose your identity to any third party who claims that the User Content infringes their rights.
    You warrant that your User Content is truthful and accurate and that it does not misleadingly exaggerate the effect any Urban Decay product(s) are capable of achieving (whether through pre-production techniques (including lash inserts, hair extensions etc) or post-production techniques (including filtering, retouching or editing etc)).

    You acknowledge and agree that the User Content could be subject to “viral” communication (word-of-mouth communication) on third party websites and that Urban Decay will not be liable for any claim or action in this regard.

    You consent to Urban Decay’s collection of any personal information you provide, and Urban Decay’s use and disclosure of that personal information in connection with the use of your User Content as described above. Your personal information may be transferred, and may be shared with affiliates or other trusted third parties working on Urban Decay’s behalf. The GIVE NAKED GET NAKED BOUNCE BACK CARD – UD MOTHER’S DAY OFFER is open to all customers who purchase at least 2 eyeshadow palettes in a single transaction from any Urban Decay counter or Urban Decay store in the UK or Republic of Ireland between 09:00 GMT on 13th March and 18:00 GMT on 31st May 2017 with the exception of L’Oréal (UK) Limited employees, their immediate families, or anyone professionally connected with the promotion

Customers who comply with point 1 above will be handed an URBAN DECAY GIVE NAKED GET NAKED BOUNCE BACK CARD by the Urban Decay sales representative serving them, entitling them to claim a complimentary make-up lesson with an Urban Decay trained make-up artist for two (2) people together for sixty (60) minutes in total (ordinarily worth at least £45/€60 when booked in store) (the “Offer”).
